Abstract

The authors discuss the provisions of the Companies Act 2006 relating to derivative actions and related procedural matters with comparative reference to provisions in German law (Aktiengesetz), including the legal rules in force designed to limit the number of derivative claims and actions by shareholders against members of the boards of companies.
