Abstract

Dr Daniel Attenborough (Senior Lecturer in Corporate Law, Durham University) considers the likely impact of the statutory scheme of obligations introduced in chapter 2 of Part 10 of the Companies Act 2006 on the law on directors’ general duties. In particular he looks at the reformulated duty of loyalty found in section 172, which determines the propriety of directorial conduct under all the subsequent duties, and suggests ways in which that measure has the potential to provide some guidance for directors in the carrying out of their other functions.
